Claim Refer-A-Friend Program Terms

These are the terms and conditions applicable to the Claim Digital Assets, Inc. (“Claim”, “we”, “us” or “our”) Refer-A-Friend Program (the “Program”). Under the Program, invited personal contacts may earn and redeem in-app Rewards (as defined below), and the inviting user may earn cash Rewards (as defined below), in each case when certain conditions are met.

By participating in the Program, you agree to be bound by these terms and conditions (these “Terms”). Your participation is also subject to our Terms of Use Agreement. If you do not agree to these Terms, you are not authorized to participate in the Program. You may not participate in the Program where doing so would be prohibited by any applicable law or regulation.

We reserve the right, at any time, with or without notice, in our sole discretion, to suspend, modify, or terminate the Program, rescind your eligibility in the Program, and/or amend these Terms and to impose new or additional terms and conditions in relation to the Program. This includes changes to Reward values, eligibility requirements, or supported geographic locations. Changes will be effective as soon as they are published on Claim’s website or in the Claim mobile app (the “App”). By continuing to participate in the Program after the posting of such changes, you will be deemed to have accepted such changes. If we terminate the Program, all legal claims to a right to receive a Reward will be revoked and forfeited at that time.

How The Program Works

A “Reward” means either (i) a promotional credit that may be redeemed through the App in connection with an eligible purchase at a participating merchant, or (ii) a cash payment issued via Venmo to an inviting user, in each case subject to the conditions described in these Terms. Rewards are promotional in nature and are issued only upon satisfaction of applicable conditions, and cannot in any circumstances be redeemed for gift cards, cash, or any cash equivalent, except to the extent required by law.

Program Participation

To participate, you will provide your personal contacts with a unique referral code, which is automatically generated by Claim when you click on the “Send Invite” button in the Claim mobile app (such code, the “Referral Code”). Your invited personal contact must enter the Referral Code and link a valid payment card to the App. If the invited personal contact does not use your Referral Code to create a Claim account, no Rewards will be issued in connection with that referral.

Eligible Users

To be eligible for the Program and to receive Rewards, you must (i) be at least 18 years old; (ii) have an active account on Claim app; (iii) have a valid, linked payment card on file associated with your account; and (iv) be located in one of our currently active geographic locations. You will not participate in the Program if doing so is prohibited by law in your jurisdiction.

Qualified Referrals

A personal contact is a “Qualified Referral” if the following conditions are met:

  1. The contact does not have an active subscription to the App.
  2. The contact successfully a) creates a Claim account using your Referral Code and links a valid payment card, and b) redeems their first promotional Reward by completing a qualifying purchase.
  3. The contact has not previously registered for the App under any other email address or alias.
  4. The contact is at least 18 years old, meets the eligibility requirements to become a user of the App, and consents to receiving communications from us.

Claim reserves the right, in its sole discretion, and at any time, to determine the legitimacy and validity of any Qualified Referral.

Earning Rewards

Invited personal contacts who sign up for the App using a valid Referral Code may receive their first promotional Reward in the form of a promotional credit, which may be redeemed through the App by completing an eligible purchase at a participating merchant.

Upon such redemption by an invited personal contact, and subject to applicable conditions, the inviting user will receive a Reward in the form of a Venmo payment for each Qualified Referral who redeems their first promotional Claim. The value of such Reward will be disclosed to the inviting user at the time the “Send Invite” button is clicked in the App.

Claim reserves the right to add, modify, revoke, and/or cancel any Rewards and/or requirements to receive any Rewards. Rewards may also be subject to expiration. Claim’s decisions with respect to any and all aspects of the Program, including the Rewards, are final and binding.

Redeeming Rewards

As further described in our Terms of Use Agreement, in order to receive Rewards, you may be required to have an account with Venmo, offered by PayPal, Inc. (“Venmo”), and provide your Venmo handle to Claim. You hereby agree to be bound by Venmo’s User Agreement, currently available at https://venmo.com/legal/us-user-agreement/, and Venmo’s Privacy Statement, currently available at https://venmo.com/legal/us-privacy-policy/. Venmo’s User Agreement and Privacy Statement govern your relationship with Venmo, and Claim is not a party to such relationship. For the avoidance of doubt, Claim has no responsibility for any funds held in your Venmo account. If you earn a Reward, Claim will send it to the Venmo handle associated with your Claim account. Once the Reward has been sent by Claim, Claim shall have no further liability in connection therewith.

Acceptable Use Policy

Prohibited Conduct, Generally.

Users agree not to use the Program to (i) violate applicable law; (ii) stalk, harass, or harm another individual; (iii) collect or store personal data about other users; (iii) attempt to gain unauthorized access to the Program, other accounts, computer systems, or networks connected to the Program; (iv) resell, barter, trade, auction or otherwise generate income by providing access to the Program to others; or (v) submit personal information relating to third parties to the Program without the consent of those third parties.

Claim reserves the right to suspend, disqualify or terminate any user’s participation in the Program and forfeit any Rewards earned if the user is found to have engaged in any prohibited conduct or otherwise violated the provisions of these Terms. We reserve the right to monitor your participation in the Program for potential fraud, abuse, or violation of these Terms.

CAUTION: ANY DELIBERATE ATTEMPT TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY CONSTITUTE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM FURTHER PARTICIPATION IN THE PROGRAM. CLAIM RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEYS’ FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION, IN THE EVENT OF ANY SUCH ATTEMPT.

Bulk Distribution

If you provide a Referral Code to a prospective Qualified Referral, including by email or text/SMS message, the message must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues, and family members. By signing up using a Referral Code, the prospective Qualified Referral represents that they have given consent to Claim to share their personal information such as full name, email address, and/or phone number.

Bulk email distribution, mass distribution to strangers, purchasing or bidding on search engine keywords for the purpose of promoting your Referral Code(s), publishing your Referral Code(s) on public websites or apps, or any other promotion of a Referral Code in a manner that would constitute or appear to constitute an unsolicited commercial message in Claim’s sole discretion is expressly prohibited and may be grounds for immediate termination of your account and deactivation of your Referral Code(s).

Fraudulent and Suspicious Behavior

  1. Claim may prohibit you from participating in the Program or receiving a Reward, in its sole discretion, if it determines that you, either directly or indirectly, are attempting to undermine the fairness, integrity, or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair playing practices.
  2. Use of any automated system, script, or macro to participate in the Program or generate Qualified Referrals is strictly prohibited and will result in the responsible user’s disqualification from the Program.
  3. You may not register a Claim account with multiple or fake email addresses or accounts, use fictitious identities, or use any system, bot, or other device or artifice to participate in the Program or receive a Reward.
  4. Claim reserves the right to disqualify any user and/or cancel any Reward(s) if it determines that a user has tampered with the operation of the Program, or violated these Terms.
  5. All Rewards are subject to verification. Claim may delay providing a Reward to you or a Qualified Referral to allow us time to for investigation. We may also refuse to verify and process any transaction that we deem, in our sole discretion, to be fraudulent, suspicious, or in violation of these Terms, or that we believe will impose potential liability on us.
  6. By permitting you to participate in the Program, we are not authorizing you to make any statements on behalf of Claim, our products and services, or the Program, and all such statements are expressly disapproved by Claim.

Miscellaneous

Privacy

If you wish to participate in the Program, you must submit personal information about yourself and your referrals such as name, email address, and phone number information, so that we can track the referrals made by you to your account and issue Rewards to you and your Qualified Referrals, as applicable, in connection with your referrals. The personal information will be collected, processed, and used in accordance with our Privacy Policy. In addition, personal information provided by you may be used by Claim or our service providers to contact you in regard to your participation in the Program and to receive email communications from Claim about the App. By participating in the Program, users consent to receiving such communications by email, text message, and/or in-app messages.
